Terms of Use

1. Acceptance of these Terms

These Terms of Use (the “Terms”) form a binding agreement between you and Live Capital Limited (RC 7880441), a company incorporated in Nigeria with its registered office at 32C Cameron Road, Ikoyi, Lagos, Nigeria. Live Capital Limitedoperates the TripleLens product (the “Platform”) made available at https://triplelens.com and the related applications at app.triplelens.com and admin.triplelens.com.

By creating an account, accessing, or using the Platform, you confirm that you have read and agree to these Terms and our Privacy Policy. If you are accepting these Terms on behalf of an entity, you confirm that you are authorized to bind that entity, in which case “you” refers to that entity. If you do not agree, do not use the Platform.

2. Definitions

  • Account: your individual user account on the Platform.
  • Profile: a TripleLens-side workspace operated by you, of a specified type (Retail Investor, Business, Institution, or Supplier).
  • Fund: a pool of capital created on the Platform by an Institution Profile, after admin approval, against which Businesses may apply.
  • Application: a request from a Business to participate in a Fund.
  • Investment: a contribution of capital made by an Investor to a Fund.
  • Content: any information, files, or materials you submit, upload, or display on the Platform.

3. Eligibility and account requirements

To use the Platform you must be at least 18 years old and legally capable of entering into a binding contract under the laws that apply to you. You must provide accurate, current, and complete information when you sign up, and you must keep that information up to date.

You are responsible for safeguarding your login credentials and for everything that happens under your Account. You must notify us promptly at contact@livecapital.fund if you suspect unauthorized access.

We may require identity verification (Know Your Customer, or “KYC”) before you can create certain Profiles, create or apply to a Fund, deposit funds, or withdraw funds. We may decline or revoke verification at our discretion where we cannot reasonably satisfy our compliance obligations.

4. Profile types and how the Platform works

A single Account can hold one or more Profiles. Each Profile has a defined role:

  • Retail Investor. An individual who reviews and may invest capital in published Funds, subject to KYC and any minimum or maximum allocation rules a Fund specifies.
  • Business. A small or medium enterprise that may apply to one or more Funds for capital, and that accepts the obligations set out in section 6 if an Application is approved.
  • Institution. A family office, fund manager, corporate, or program operator that may create Funds (subject to TripleLens admin approval), evaluate Applications, and deploy capital to selected Businesses.
  • Supplier or Service Provider. A partner that lists services, negotiated tools, or supplier relationships available to Businesses on the Platform.

Funds are created by Institution Profiles and become visible to Investors and Businesses only after TripleLens admin approval. A Fund is either “for-profit” or a “grant”, as indicated in the Fund’s published terms. The Fund’s published terms govern its investment thesis, eligibility, deployment criteria, and any repayment, royalty, or recycling expectations. Where those terms conflict with these general Terms, the Fund’s terms prevail for participants in that Fund.

5. Identity verification (KYC and corporate verification)

We use third-party providers to verify the identity of individuals and the corporate existence and ownership of businesses, institutions, and suppliers. You authorize us and these providers to collect, verify, and (where required) share the information you submit for these purposes, in accordance with applicable law and our Privacy Policy. We may suspend any Profile or Account that fails or refuses verification, or where the result indicates risk we cannot reasonably mitigate.

6. Investments, risk, and no investment advice

Important risk disclosure. Please read this section carefully.

Investing in small and medium enterprises is risky. Returns are not guaranteed. You may lose part or all of the capital you invest. Past performance of a Business, a sector, or a Fund is not a reliable indicator of future performance. Liquidity may be limited: there is no public secondary market for these investments and you should not expect to be able to exit at will.

TripleLens is a marketplace operator. We are not a broker-dealer, investment adviser, fund manager, or fiduciary, and nothing on the Platform constitutes investment, tax, legal, or other professional advice. Information published by Businesses, Institutions, and Suppliers is provided by them, and while we apply reasonable verification steps (including KYC), we do not independently audit every claim made on the Platform.

You are solely responsible for your own investment decisions and for seeking independent professional advice where appropriate. By investing through a Fund, you confirm that you understand the risks set out in this section and in that Fund’s published terms.

7. Business obligations on accepting capital

If your Business Profile receives capital through a Fund, you agree to:

  • use the capital strictly for the purpose described in your Application and the Fund’s published terms;
  • keep, and on reasonable request share, accurate financial and operational records relating to the use of the capital;
  • meet any reporting milestones the Fund or TripleLens specifies, including periodic performance updates;
  • honour any repayment, royalty, or recycling commitments set out in the Fund’s published terms. For grant Funds these may be expressed as ecosystem-recycling expectations rather than legal repayment obligations, and the Fund’s terms will make that distinction explicit;
  • promptly notify the Fund and TripleLens of any event that materially affects your ability to operate the Business or meet your obligations (insolvency, regulatory action, change of control, loss of key personnel).

Misuse of capital, material misrepresentation in an Application, or persistent non-cooperation may result in suspension, recall of capital where legally permissible, and referral to law enforcement or regulators where appropriate.

8. Institution and Supplier responsibilities

Institution Profiles are responsible for the accuracy and lawfulness of any Fund they create, including its terms, marketing, and selection process. They must not market a Fund to anyone for whom it is unsuitable under applicable law, and they must apply their declared selection criteria consistently. TripleLens admin approval of a Fund is an operational gate, not an endorsement, audit, or guarantee.

Supplier or Service Provider Profiles are responsible for the accuracy of their listings, the quality of any services they deliver to Businesses, and compliance with the laws that apply to those services. TripleLens is not a party to commercial agreements between a Supplier and a Business.

9. Your Content and the licence you grant us

You retain ownership of the Content you submit. You grant Live Capital Limited a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for format, and display that Content solely for the purpose of operating, securing, and improving the Platform, providing the services you have asked us to provide, and complying with law. The licence ends when you delete the Content or close the relevant Profile, except where we are legally required to retain it (for audit, anti-money laundering, or dispute purposes) or to the extent it has already been shared with counterparties who have an ongoing legitimate interest (such as an Investor in a Fund you applied to).

You confirm that you have all rights necessary to submit your Content and to grant this licence, and that the Content does not infringe anyone’s rights or violate applicable law.

10. Acceptable use

You agree not to:

  • misrepresent your identity, business, or financial position;
  • use the Platform for money laundering, terrorist financing, sanctions evasion, fraud, or any other unlawful purpose;
  • attempt to access another user’s Account, Profile, or data without authorization;
  • scrape, crawl, copy in bulk, or systematically extract data from the Platform except via interfaces we provide and explicitly authorize;
  • reverse engineer, decompile, or attempt to extract the source code of any part of the Platform, except to the extent applicable law expressly permits;
  • interfere with the operation, security, or integrity of the Platform, including by transmitting malware or attempting denial-of-service;
  • post Content that is unlawful, defamatory, obscene, or that infringes intellectual property or privacy rights;
  • use the Platform to circumvent legal, regulatory, or contractual obligations you owe to any third party.

11. Fees

Access to most parts of the Platform is currently free. Where we charge fees (for example, a platform fee on Fund deployment, a verification fee, or a premium feature), the applicable amount, currency, and timing will be displayed before you commit. We may change or introduce fees on reasonable prior notice, and any change will not apply retroactively to obligations already incurred.

12. Suspension and termination

You may close your Account at any time. We may suspend or close your Account or any Profile, with or without notice, if we reasonably believe you have breached these Terms, a Fund’s terms, applicable law, or our risk and compliance policies. We may also suspend access while we investigate suspected misuse.

On termination, sections that by their nature should survive (including the licence to your Content for legitimate retention, risk and liability sections, governing law and dispute resolution, and any payment obligations already incurred) will continue to apply.

13. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Live Capital Limited disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure against every conceivable threat, although we work to make it reliable and safe.

Statements made by Businesses, Institutions, Suppliers, or other users are their statements, not ours. We do not endorse, recommend, or guarantee any Fund, Application, investment, business plan, supplier, or service offered through the Platform.

14. Limitation of liability and indemnity

To the maximum extent permitted by law, Live Capital Limited (and our officers, directors, employees, and agents) will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profit, revenue, business, goodwill, anticipated savings, opportunity, or data, arising out of or in connection with the Platform or these Terms, whether based in contract, tort (including negligence), or any other theory, even if we have been advised of the possibility of such loss.

Our aggregate liability to you for any claim arising out of or relating to these Terms or the Platform will not exceed the greater of (a) the fees you have paid to us in the twelve (12) months immediately before the event giving rise to the claim, and (b) one hundred United States dollars (USD 100). Nothing in this section limits liability that cannot be limited under applicable law (including liability for fraud or for personal injury caused by negligence).

You will indemnify and hold Live Capital Limited harmless from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of (i) your breach of these Terms or applicable law, (ii) your Content, or (iii) your use of the Platform in a way that injures another user or a third party.

15. Intellectual property

The Platform, including its software, design, trademarks, logos, and branding (including the names “TripleLens” and “Live Capital”) are owned by Live Capital Limited or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform in accordance with these Terms. No other rights are granted by implication.

16. Third-party services and Privacy

Parts of the Platform rely on third-party services (for example, hosting, email delivery, analytics, identity verification, and payments). Their availability and behaviour are outside our direct control, and your use of those services may be subject to their own terms. Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

17. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will give reasonable notice (for example, by email or by an in-product banner) before the change takes effect. Your continued use of the Platform after the change becomes effective means you accept the updated Terms. If you do not accept the change, you should close your Account before it takes effect.

18. Governing law and dispute resolution

These Terms and any dispute arising out of or in connection with them or with the Platform are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles.

The parties will first try in good faith to resolve any dispute by negotiation, by notifying the other party in writing of the dispute and giving the other party at least thirty (30) days to respond. If the dispute is not resolved within sixty (60) days of that notice, it will be finally settled by arbitration administered by the Lagos Court of Arbitration under its rules in force at the time of submission. The seat of arbitration will be Lagos, Nigeria. The arbitral tribunal will consist of one arbitrator. The language of the arbitration will be English. Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction in Lagos pending the constitution of the tribunal.

19. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any Fund-specific terms you accept, are the entire agreement between you and Live Capital Limited regarding the Platform.
  • Severability. If any part of these Terms is held unenforceable, the rest remains in effect.
  • No waiver. A failure to enforce a right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a reorganization or sale of substantially all our assets.
  • Force majeure. Neither party is liable for failure to perform due to events beyond reasonable control (including acts of government, internet outages, cyberattacks, civil unrest, or natural disasters).
  • Notices. We may give you notice by email or via the Platform. You can give us notice at contact@livecapital.fund or by post to the address below.
